Our Services include a web-based interface, SMS gateway access, text messaging applications, software maintenance, and upgrades, as well as customer support, that allow users to send SMS text messages to recipients designated by them.

You understand that while our Services facilitate the sending of SMS text messages to your designated recipients, ReviewSpreader does not send any SMS text messages or cause such to be sent. This is the responsibility of the appropriate telecommunications provider or mobile network operator. Even though we use all commercially reasonable efforts to communicate SMS text messages to the applicable telecommunications provider or mobile network operator as quickly as is possible, you understand that the final delivery of all SMS text messages to recipients remains the responsibility of such operator or provider. Thus, we will not be responsible if final delivery fails to occur because of an action, inaction or any other failure of the applicable telecommunications provider or mobile network operator.

Eligibility

We offer this website, its services, and content for individuals who are over the age of 18 and are able to form legally binding contracts. Users who are representatives of business customers confirm that they have authority to bind any business on whose behalf they use our Services.

To be eligible as a user, you hereby certify that you have the legal capacity to agree to this agreement and that you have fully read, understood, and agree to be bound by it.

While ReviewSpreader allows users to browse and use the website anonymously, we will require you to sign up and create an account in order to use the Services. To do so, you must provide required information including your name, job title, company name, email address, and password.

You must make sure that all information that you supply to us during the account creation process (and after that) is true, correct, up-to-date and complete.

You understand that it is your responsibility to secure your log-in credentials and password and that you will bear responsibility for all the activities that occur under your account. We ask that you do not disclose your login credentials, password and other account details to third parties and always treat such as confidential. We ask that you contact us as soon as possible should you suspect any third person breach of your account.

We reserve the right to decline or refuse any user access to the Services at any time and for any reason at our discretion. Also based on our discretion, we may disable any user identification code or password, at any time, if in our sensible opinion, you have failed to adhere to any of the provisions of these Terms.

Pricing

In order to send review requests, we will require a recurring monthly payment. Since we do not require users to sign contracts, customers have the options of canceling or downgrading at any time. We also offer users a free reputation management tool that users may use without incurring the monthly fee.

To view the recurring monthly payment that applies to you based on the exact specification of the services we offer you, please visit the pricing page of this website. By applying to use our services, you agree to pay the quoted price in full. We will not supply services until fees have been paid in full. You will be required to make subsequent payments on the monthly anniversary of your first payment date. Should such payment not be made three days after the expected date, we reserve the right to discontinue providing you with service.

You understand that this price is exclusive of value added tax (VAT) and that you will be liable for and will reimburse ReviewSpreader for all sales, VAT or other taxes borne by it in connection with the provision of Services to you.

We may change our prices and pricing strategy at any time without notice, with the provision that any such changes will be posted on the website. Your payable fee payable shall be the fee that is applicable as at the date you submit an order for Services, and you agree that this fee may exceed the fee quoted to you at the time that you purchased the relevant credit. In light of this, you are responsible for checking the website regularly for information as it relates to price changes.

Refunds and Cancellations

We may, on a case by case basis, refund unused credit on our customers’ request. You, however, understand that consumed funds are not refundable under any circumstances. To ask for a refund, which we may process or refuse based on our discretion, please email us at [email protected], including your name, email address, company name, and the reason for requesting a refund. We will typically respond to refund requests within 7 business days.

We will refund unused credit using the same payment method used to purchase the original credit.

You understand that failure to use the Services for a continuous period of 12 months is grounds for immediate termination in accordance with these Terms. In such a case, we will not be liable to refund any unused credit.

As a user, you may terminate your account for any reason, and may do so by logging into your account, going to the account settings page and choosing “Close my account”. No cancellation or termination fee applies. We will close your account immediately after we receive your request.

User Content

Any material, thought, information, recommendation, procedure, idea, know-how, inquiry, remarks and all other communications that you transmit or post to the website in any way and in any form will be considered non-proprietary, non-confidential, and non-personal to you or a third party and may be used by ReviewSpreader for any purpose, including business and non-business purposes in whatever media, currently known or to be created in the future, as ReviewSpreader may decide, in its sole discretion.

This use shall include but shall not be limited to, the development or promotion of products and services for commercial purposes without reimbursing you or a third party; or identifying you or a third party as the source of such content. FCC regulations and disputes

You understand that you are responsible for compliance with FCC regulations when sending your end customers SMS text messages. You understand and agree that you will bear sole responsibility and liability in the event of disputes regarding an end customer receiving an SMS text message from you, even though such an SMS text message was generated using our SaaS.

Indemnification

You agree to defend, indemnify, and hold ReviewSpreader and its subsidiaries and affiliates, their officers, directors, agents, and representatives, not guilty from and against any claims, reparations, liabilities, losses, and expenses, including but not restricted to, reasonable legal and accounting fees, associated in any way with your use of the website and services or your breach of these terms.

Governing Law and Jurisdiction

These terms are governed exclusively by laws of the US. In the event of a dispute, you consent to submit to the jurisdiction of its courts.

Severability

If any provision of this user agreement is found by a US court of competent jurisdiction to be invalid, such a provision will be modified to reveal the parties' intention and all other remaining provisions of this user agreement shall remain in full force and effect.

Modification and Termination

We at our discretion, reserve the right to modify, change, add, or delete portions of these terms at any time, without prior notice to you. We will take your continued use of the website following any changes to these terms as an acceptance of those changes.

As a user, you may also terminate your accounts for any reason, and may do so by logging into your account, going to the billing screen, and choosing “Cancel ReviewSpreader”. No cancellation or termination fee applies. We will close your account immediately after we receive your request.

We may terminate your use of the Services at any time for any reason counting but not limited to a violation of these Terms which shall be determined in our sole discretion. We shall have no other obligations to you after termination.
